Customer wishes to have Warsaw Chemical (WC) initiate Debit Entries to its account (details below) in payment of obligations owed by Customer to WC pursuant to the terms of this Agreement and the ACH Rules relating to Corporate Trade Payment Entries and the Automated Clearing House Association, and is willing to initiate such Entries on the terms set forth below.

AGREEMENT

1. Authorization. Subject to the terms set forth below, Customer authorizes WC to initiate Debit Entries to the Account in accordance with the Rules for obligations owing from time to time by Customer to WC resulting from the sale of Warsaw Chemical products.

2. Warsaw Chemical’s Failure to Originate. Customer shall not be deemed to default on any obligation or suffer any loss of discount or other penalty by reason of the failure of WC to initiate any Debit Entry in accordance with the terms of this Agreement.

3. Entry Information. Each Entry initiated under this Agreement shall be accompanied by the WC invoice being satisfied, fax/email of check Customer wishes to be drawn on, fax/email of verbal authorization for the individual transaction or recurring transactions.

I understand that this authorization will remain in effect until I cancel it in writing, and I agree to notify Warsaw Chemical in writing of any changes in my account information or termination of this authorization at least 10 days prior to the next authorized ACH date. In the case of an ACH Transaction being rejected for Non-Sufficient Funds (NSF), I understand that WC may attempt to process the charge again within 30 days, and agree to a $30.00 charge which will be initiated as a separate transaction from the authorized payment. I acknowledge that the origination of ACH transactions to my account must comply with the provisions of U.S. law. I agree not to dispute this with my bank as long as the transactions correspond to the terms indicated in this authorization form.
